What transfers when a dive center changes hands

Two centers at the same asking price can be very different purchases. What is actually for sale is some combination of a location, a customer base, an agency affiliation, a compressor and fill station, a rental fleet, a boat, and the staff who know the sites — and any one of those can be carved out of the deal. Read each listing for what is included, then ask the seller what is not.

What to check before you make an offer

• The lease or the title. Remaining term, renewal rights and rent review clauses decide whether you are buying a business or a two-year window on one.
• Permits and moorings. Marine park permits, boat licenses and mooring rights are often issued to a person rather than to a company, and they do not always follow the sale.
• Agency status. Center ratings belong to the center and to its instructors. Confirm what survives a change of ownership and what has to be re-earned, because re-earning it takes a season.
• Compressor and cylinder records. Running hours, filter changes, the last air quality test, and in-date hydrostatic and visual inspections. All cheap to verify now and expensive to discover later.
• Monthly figures, not annual ones. Ask for at least two full years broken down by month. An annual total hides a business that earns its year in fourteen weeks.
• Staff. Which contracts transfer, who intends to stay, and what the center costs to run through the low season with no students in it.
